Job Summary

ABS Group is looking for an experienced Company Secretary to join its Corporate Secretarial and Compliance team. This opportunity is ideal for professionals with experience in the NBFC, Housing Finance Company (HFC), Banking, or Loan industry who are passionate about corporate governance, regulatory compliance, and board management.

Key Responsibilities

  • Ensure compliance with the Companies Act, RBI regulations, SEBI regulations (where applicable), and other applicable laws.
  • Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
  • Prepare agendas, board notes, resolutions, minutes, and statutory documentation.
  • Execute ROC filings and maintain statutory registers and secretarial records.
  • Coordinate secretarial audits and ensure timely statutory compliances.
  • Advise management on corporate governance, legal, and regulatory matters.
  • Liaise with auditors, regulators, legal advisors, and internal stakeholders.
  • Monitor regulatory developments and support compliance across NBFC operations.

Required Skills & Qualifications

Must-Haves

✔ Qualified Company Secretary (ACS) from the Institute of Company Secretaries of India (ICSI)

✔ Minimum 2 years of post-qualification experience as a Company Secretary

✔ Mandatory experience in an NBFC, Housing Finance Company (HFC), Banking, or Loan Industry

✔ Strong knowledge of the Companies Act, RBI Regulations, SEBI Regulations, and Corporate Governance

✔ Excellent drafting, communication, stakeholder management, and documentation skills

✔ Proficiency in MS Office (Excel, Word & PowerPoint)


Preferred

⭐ Experience in Secretarial Audits and Regulatory Compliance

⭐ Strong understanding of Board Processes and Corporate Governance Frameworks

⭐ Ability to independently manage compliance assignments and regulatory filings
